WAIVER AND RELEASE OF LIABILITY, AND PHOTO AND VIDEO RELEASE

IN CONSIDERATION OF the risks associated with participating in GIRLS UPSTATE'S (Girls Upstate LLC) EVENT, MEETUP OR GET TOGETHERS (hereinafter the "Activity"), and my desire to participate in said Activity, I voluntarily enter into this WAIVER AND RELEASE OF LIABILITY and PHOTO AND VIDEO RELEASE. I, for myself, my heirs, executors, administrators, assigns, or personal representatives (collectively referred to as "Releasor"), waive any and all rights, claims, or causes of action arising from my participation in the Activity. I release and forever discharge GIRLS UPSTATE LLC, its partners, including its managers, members, agents, affiliates, attorneys, staff, volunteers, heirs, representatives, predecessors, successors, and assigns (collectively referred to as "Releasees"), from any physical or psychological injury that may occur as a result of my participation in the aforementioned Activity. I acknowledge that I am voluntarily participating in the Activity at my own risk and that I am aware of the associated risks, including but not limited to physical or psychological injury, pain, suffering, illness, disfigurement, temporary or permanent disability (including paralysis), economic or emotional loss, and death. I understand that these injuries or outcomes may result from my own or others' negligence, travel conditions to and from the Activity, or conditions at the Activity location(s). Despite these risks, I assume all known and unknown risks associated with my participation in this Activity. I agree to indemnify, defend, and hold harmless the Releases against any claims, suits, or actions of any kind brought by me or anyone on my behalf, including attorney's fees and related costs. I also acknowledge that the Releasees are not responsible for errors, omissions, acts, or failures to act of any party or entity conducting a specific event or activity on behalf of the Releasees. In the event that I require medical care or treatment, I authorize Girls Upstate LLC to provide necessary emergency medical care, including but not limited to first aid, CPR, the use of AEDs, emergency medical transport, and sharing of medical information with healthcare professionals. I agree to assume all costs involved and be financially responsible for any expenses incurred as a result of such treatment. I am aware that this Activity may involve a test of my physical and mental limits and may carry the potential for death, serious injury, and property loss. I affirm that I will only participate in the Activity if I am medically able, properly trained, and abide by the decisions of Girls Upstate officials or agents regarding my participation. I acknowledge that I have carefully read this "WAIVER AND RELEASE" and fully understand that it is a release of liability. I expressly agree to release and discharge Girls Upstate, its partners, and all its affiliates, managers, members, agents, attorneys, staff, volunteers, heirs, representatives, predecessors, successors, and assigns from any claims or causes of action, and I voluntarily waive any right to bring a legal action against Girls Upstate LLC and its partners for personal injury or property damage. To the extent permitted by law, this release also covers ordinary negligence on the part of Girls Upstate LLC, its partners, its agents, and employees. I agree that this Release shall be governed by applicable law without regard to any conflict of law principles. This Release supersedes any previous oral or written promises or agreements. In the event that any damage to equipment or facilities occurs due to my willful actions, neglect, or recklessness, I acknowledge and agree to be held liable for associated costs. This WAIVER AND RELEASE OF LIABILITY shall remain in effect for the duration of my participation in the Activity, including all subsequent events. This agreement is entered into freely, without duress or coercion, and is interpreted as an agreement between two parties of equal bargaining strength. Both Participant and Girls Upstate LLC agree that this agreement is clear and unambiguous, and no other evidence will be used to alter or explain its terms. It will be interpreted based on the language and purposes for which it is entered into. If any provision of this agreement is deemed severable, invalid, or unenforceable, the remainder of the agreement shall remain in full force and effect. If a court finds any provision to be invalid or unenforceable but capable of being limited to make it valid and enforceable, that provision shall be deemed to be written, construed, and enforced as limited.

PHOTO AND VIDEO RELEASE
I hereby grant Girls Upstate LLC, its partners, and any of its affiliates, agents, and representatives, permission to photograph, video, and otherwise record my image, likeness, and/or voice during my participation in the Activity. I further grant Girls Upstate LLC, its partners, and its affiliates, agents, and representatives the right to use, reproduce, and distribute these recordings for any legitimate purposes, including but not limited to promotional materials, advertising, social media, and other media formats, without any compensation to me. I acknowledge and agree that these recordings may be edited, modified, and distributed without my inspection or approval, and I waive any rights of privacy and/or publicity or any other rights that I may have to the images, likeness, or recordings.

By purchasing this ticket and participating in this event, I agree to the above Terms & Conditions, including the Waiver and Release of Liability and Photo and Video Release. I confirm that I meet the required age mentioned in the event description.
